Terms and Conditions of Trade

1. Definitions

In these Terms:

  • “Company” means Poowong Power, its employees, agents, and subcontractors.


  • “Customer” means the person(s) or entity engaging the Company to provide Goods or Services.


  • “Goods” means any materials, products, components, or equipment supplied by the Company.


  • “Services” or “Works” means all electrical services, labour, and associated work provided.


  • “Site” means the property or location where Works are carried out.


  • “Terms” means these Terms and Conditions of Trade.


2. Binding Nature

By accepting a quote, paying a deposit, instructing the Company to proceed, or by accepting delivery of Goods or Services, the Customer agrees to be bound by these Terms, whether signed or not.

3. Quotations and Variations

3.1 All quotes are valid for 30 days unless otherwise stated.
 3.2 Quotes are based on the information available at the time. Any change in scope, materials, or access may result in a variation.
 3.3 Variations must be agreed to in writing. The Company may charge additional costs for unforeseen circumstances, including but not limited to:

  • Asbestos


  • Hidden wiring


  • Non-compliant existing installations


  • Extra materials or labour
  • Latent Conditions


4. Pricing

4.1 All prices are exclusive of GST unless otherwise stated.
 4.2 Prices do not include any special permits, excavation, or site restoration unless specified.
4.3 Prices do not include retailer fees unless specified

5. Payment Terms

5.1 Payment is due in full within 7 days of the invoice date unless previously negotiated.
 5.2 The Company reserves the right to:

  • Withhold further services or warranties for non-payment


  • Recover debt collection/legal costs from the Customer


5.3 A deposit may be required before work commences.

6. Completion Time

6.1 Completion dates provided are estimates only and may be subject to delays outside the Company’s control (weather, supplier delays, customer actions, etc.).


7. Access and Site Conditions

7.1 The Customer must provide safe and timely access to the Site.
 7.2 The Company may charge waiting time or reschedule work if access is not available as agreed.
 7.3 The Customer must notify the Company of any hazards, restricted areas, or known electrical faults.

8. Inspection and Acceptance

8.1 The Customer shall inspect all Goods and Works on completion or delivery.
 8.2 If no notice of defect is provided in writing upon inspection, the Works will be deemed accepted.

9. Property and Risk

9.1 Risk in the Goods passes to the Customer upon delivery or installation unless under warranty.
 9.2 Title (ownership) of Goods remains with the Company until full payment is received.
 9.3 The Company may recover or remove Goods if payment is not made, and access must be granted for this purpose.

10. Force Majeure

The Company shall not be liable for any failure or delay caused by events beyond its reasonable control, including (but not limited to) fire, flood, pandemic, supplier failure, or industrial action.

11. Products and Works

11.1 All electrical Works are performed to meet applicable standards (e.g. AS/NZS 3000).
 11.2 The Company is not responsible for existing non-compliant or unsafe wiring unless included in the scope of work.

12. Warranties – Materials and Equipment

12.1 Materials supplied by the Company are covered by manufacturers’ warranties, subject to their terms.
 12.2 The Company will pass on the benefit of these warranties where applicable but does not offer additional product warranties unless stated.

13. Labour Warranty

13.1 The company provides a 12-month warranty on workmanship from the completion date.
 13.2 This warranty excludes:

  • Damage caused by misuse, vandalism, or accidents


  • Works altered by others without written approval


  • Power surges, lightning strikes, or external faults


14. Customer Acknowledgements

The Customer acknowledges that:

  • The Company is not liable for pre-existing defects.


  • Delays caused by others may affect timing and costs.


  • Electrical systems may be de-energised during works.


  • Some minor aesthetic damage (e.g. paint touch-ups, plastering) is not included unless stated.


15. Termination

15.1 Either party may terminate the contract by written notice if the other party:

  • Breaches a material term and fails to remedy within 14 days; or


  • Becomes insolvent or ceases trading


15.2 Upon termination:

  • All unpaid invoices become immediately due


  • The Company may recover Goods and materials supplied


16. Privacy Act Consent

16.1 The Customer agrees that the Company may collect, store, and use personal information for purposes including:

  • Providing Goods and Services


  • Managing accounts and payment


16.2 Personal data will be handled in accordance with the Privacy Act 1988 (Cth).

17. Personal Property Securities Act 2009 (PPSA)

17.1 The Customer acknowledges that:

  • These Terms constitute a security agreement under the PPSA


  • The Company retains title until full payment


  • A security interest is created over the Goods and any proceeds


17.2 The Customer agrees to:

  • Allow the Company to register this interest on the PPS Register


  • Do all things reasonably required to perfect or enforce the interest


  • Waive the right to receive any notices under sections 95, 118, 121(4), 130, 132(3)(d), and 135 of the PPSA


18. Limitation of Liability

18.1 The Company’s liability is limited to the lesser of:

  • Re-supplying the Services or Goods;


  • Refunding the price paid; or


  • The amount recoverable under the Company’s insurance


18.2 The Company is not liable for:

  • Consequential loss


  • Loss of income or business


  • Delays caused by third parties


19. General

19.1 These Terms are governed by the laws of Victoria, Australia.
 19.2 If any clause is found to be invalid, the remaining clauses remain in full force.
 19.3 These Terms may only be amended in writing by the Company.
 19.4 No waiver is effective unless in writing.

20. Amendments

These Terms may be updated by the Company from time to time. The latest version will apply to all future engagements and be made available on request or via the Company’s website.
